Reporting to the Head of Legal, the Commercial Counsel (West Coast, Remote) is a strategically important role that will support WB at a time of rapid growth. The Commercial Counsel will partner closely with internal business teams on a broad variety of transactional and other business matters.
Responsibilities
- Review and negotiate master subscription agreements with enterprise customers, working closely with Sales and Finance to drive deals to closure
- Review and negotiate a wide range of other commercial agreements, including vendor agreements, DPAs and partnership agreements, working with stakeholders across the organization
- Develop Legal enablement materials and conduct trainings for the Go-To-Market team
- Implement and improve policies and processes to manage legal and business risk on a global scale
Requirements
- JD and a member of a U.S. state Bar in good standing (CA preferred)
- 4+ years of combined experience in-house and at a law firm, including commercial and tech transactions experience, preferably at a VC-backed technology company
- Substantive knowledge of SaaS and software licensing
- A track record of closing challenging deals
- Practical, solution-oriented and ready to engage directly with all levels of tasks
- Excellent communication skills with the ability to translate complex legal concepts into easy-to-understand advice
- Interest in machine learning technology and applications
- This role is required to work in PST hours
