Natcast (short for The National Center for the Advancement of Semiconductor Technology) is a new, purpose-built, non-profit entity created to operate the National Semiconductor Technology Center (NSTC) consortium, established by the CHIPS Act of the U.S. government.

Technology Transactions Counsel

In this role you will guide critical technology transactions that advance America's semiconductor capabilities, providing strategic legal counsel across Natcast's complex research and development initiatives.

Every day you will structure and negotiate sophisticated agreements, protect intellectual property assets, and enable secure collaboration while supporting U.S. technological innovation.

This unique public-private partnership unites industry leaders, academic researchers, and government stakeholders in advancing U.S. semiconductor capabilities through collaborative innovation.

The Technology Transactions Counsel role offers an exceptional opportunity to shape semiconductor innovation through sophisticated legal frameworks. Supporting Natcast's research and development initiatives, this position directly impacts the success of critical technology partnerships while ensuring robust protection of intellectual property and data assets.

Responsibilities:

  • Draft, review, negotiate, and provide counsel on a wide range of research and development agreements, ensuring alignment with institutional goals and legal compliance

  • Draft, review, counsel and negotiate other technology agreements such as:

  • Intellectual property licenses

  • Joint development and joint venture agreements

  • End user license agreements

  • Facilities use agreements for manufacturing and prototyping

  • IT procurement contracts, including cloud service agreements

  • Review and advise on research activities throughout the project development lifecycle focusing on:

  • Confidentiality and risk mitigation

  • Enabling safe and secure IP and data sharing

  • Export control compliance

  • Compliance with regulatory and policy frameworks, in particular those involving cyber security and data protection

  • Update and advise on IP and data governance policies, programs, and guidelines in keeping with best practices

Required Qualifications:

  • J.D. required, must be licensed and currently in good standing to practice law in one or more jurisdictions

  • At least 5 years experience in a law firm or in-house legal team setting, and 3 years of experience as a technology transactions attorney with significant experience drafting, reviewing, negotiating and providing counsel on R&D, technology, and IP agreements

  • Strong business judgment and pragmatic approach to legal problem-solving

  • Ability to translate complex legal issues for technical/non-legal audiences

  • Clear writer and tactful communicator

  • Creativity, sound judgment, and the ability to work independently

  • Ability to deliver practical advice that the client can act on

  • Strong project management skill

  • Collaborate with the team and bring a positive attitude to your work

  • Effectively prioritize and manage multiple projects simultaneously

Preferred Skills & Experience:

  • Experience with semiconductor R&D or other research and development projects

  • Experience in the semiconductor industry

  • Understanding of U.S. export control laws

  • A technical background or education
