Job Purpose:
A Contracts Manager plays a crucial senior role in ensuring effective compliance and risk management of contractual agreements and obligations within the organisation. This role involves overseeing the entire contract lifecycle, from direct negotiation with prospects and clients as a well as agreeing contracts with suppliers and partners. Ranging from the initial drafting through to execution and overall governance in line with company policies. The Contracts Manager serves as a key liaison between a number of departments, internal and external legal teams, to ensure that contractual terms are clear, fair, and align with the organisation's objectives.
Key Responsibilities
- Reviewing & negotiating prospect and customer terms, based on feedback to our standard Master Service Agreement and Data Processing Agreement.
- Provide input to the RFP (Request For Proposal) process.
- Review DPAs (Data Processing Agreements).
- Review NDAs (Non Discloser Agreements).
- Ensure all Agreements meet the minimum MAR requirements and have been approved as per the Authorisation Scheme (Purchase process & Appointment list).
- Reviewing other Legal documentation, for example Supplier Code of Conduct, Confidentiality Statements, various Sustainability Statements. Increasingly customers require us to complete questionnaires / assessment.
- Review legal terms changes to SOWs (Statement of Works) that fall outside of the MAR.
- Initiate and administer the Legal DocuSign process.
- Keep template contracts up to date, continuously improve upon them and communicate updates to the business.
- Be familiar with and be prepared to introduce professional legal management software tools.
- Ensure all contracts are stored in a centralized folders for reference purposes.
- Participate in new recruit induction sessions and sales meetings; educating sales colleagues (do's & don'ts, sign off limits, MAR).
- Review applicability of existing contracts and update where necessary in discussion with clients, suppliers and partners. Novate contracts where applicable.
- All purchasing processes; e.g. leasing contracts, training and benefits parties, internal business applications, insurances.
- Maintaining the ISV partner contracts.
- Internal optimisations where processes are supported by legal documents.
- Manage legal aspects Subcontractor Agreements and advise Finance for setup purposes.
- Intercompany Agreements for hiring resources form other HSO entities
- Advising impact of CPI index changes and impact on Credit Limits and credit worthiness.
- Align with Group Legal resources and communicate changes that impact HSO UK

Location:
This will is remote based role but you will be expected in the office / on client site as and when required
Requirements
Experience and Skills
Essential
- Bachelor's degree in business, law, or a related field. A Master's in Business Administration (MBA) may be preferred.
- Proven experience as a Contracts Manager or in a similar role.
- Excellent negotiation, communication, and interpersonal skills.
- Detail-oriented with the ability to manage multiple tasks and deadlines.
- Familiarity with contract management software and tools.
- Legal certification or membership in a relevant professional organisation may be beneficial.
