The UnitedLex Commercial Contracts Services Group is excited to hire a Senior Contracts Manager into our expanding, dynamic team to support an existing enterprise client on a dedicated basis.

The client is a leading provider of technology services and solutions for US Health and Human Services programs.

Responsibilities

  • Support the client’s sales transactions process, undertaking the role of accountable advisor for incremental business proposals relating to existing client contracts for which no material or significant changes to the contract terms are required;
  • Support the Client account contracts / account management process, undertaking the roles of accountable advisor;
  • Identify any substantive or material contract changes or amendments to the contract documents proposed by the client’s customers or internal account teams, (and notify and assign for legal review and assist the legal team with the review and negotiation of terms), providing the account contextual knowledge driving the change;
  • Notify and report to client’s corporate legal, formal assertions, notifications of breach, or commencement of a dispute resolution process received by accounts relating to client contracts and material subcontracts specific to an account.
  • Assist the account team and assigned legal case lead (or matter lead) by providing account or material subcontractor contextual knowledge relating to the matter;
  • Maintain client contract documents in accordance with the applicable document management policy;
  • Assist client with requested “data pulls” and requests for information in client contracts;
  • Subject to client account support (whether assigned account support or as requested by accounts) and in accordance with the client contract change control provisions and policies:
  • maintain the integrity of the client contracts by means of storage of all applicable contracts changes in the applicable contracts repository
  • prepare and/or review any proposed changes to the client contract that will alter the contract terms, alter the scope of services, impact the price or alter client funding;
  • refer any proposed client contract changes for review and approval as appropriate;
  • advise and liaise with client account teams regarding approvals to be obtained for (1) submission of a proposed change; or (2) acceptance of a change proposed;
  • advise and liaise with account teams to ensure that all agreed final version contract change documentation is authorized by appropriate Client representatives (signatories).
  • Review account generated Statements of Work and proposals or customer proposals submitted to the account prior to:
  • acceptance of a proposal submitted to client by a customer; or
  • submission of a proposal by client to a customer;
  • Provide review feedback to the account relating to consistency of the proposal with the client contract terms and conditions; and advise the account of the governance policies that are applicable.

Qualifications

  • JD preferred but not required.
  • 5-7 years of contracts negotiation and contract management experience.
  • Excellent understanding of complex commercial transactions.
  • Background in technology services transactions and/or experience working with State and Local governmental agencies is preferred.
  • Excellent verbal and written communication skills.
  • Role will be fully remote, must be available for standard ET business hours in the United States, with some flexibility to respond to occasional after-hours requests, as required by the business.
  • Must be able to maintain a quiet working environment with consistent broadband connection.

Salary Range

The salary range for this role reflects the range of factors that inform case-by-case compensation decisions including education, experience, training, licensure, certification, and geography as well as the business and organizational needs specific to the role. Compensation ranges may be broad, reflecting flexibility within the budget and title to consider candidates of varied experience. A reasonable estimate of the current compensation range for this role is $100,000 to $130,000. This role is additionally eligible for Incentive Compensation in the form of our Annual Performance Bonus Program
