Position Summary

As the Analyst, Company Secretary, you will be responsible for ensuring the company's compliance with legal and regulatory requirements, maintaining corporate records, and assisting with administrative tasks. This position will give you the opportunity to work with a cutting-edge technology company in the digital asset space and sharpen your skill sets as a corporate governance professional in the digital asset economy.

Duties & Responsibilities

  • Handle the full spectrum of corporate secretarial work, including entities’ incorporation worldwide, management and maintenance of statutory books and records for the holding company and its subsidiaries in all applicable jurisdictions, i.e. Hong Kong, Singapore, Southeast Asia, EMEA, etc.
  • Assist in preparation of board, committee and shareholders’ meetings, prepare agendas and board materials, and draft the relevant minutes
  • Prepare and draft all corporate secretarial documents, e.g. resolutions, share subscription documents and statutory forms.
  • Coordinate document execution and its related administrative procedures across various jurisdictions
  • Liaise with internal teams on ongoing AML/KYC discussions on group entities keeping the abreast of all changes to requirements and standards with applicable laws, rules, and regulations, including anti-money laundering, data protection, and KYC requirements
  • Ensure compliance with legal, regulatory, and financial requirements, and the timely filing of statutory documents in all jurisdictions
  • Manage and maintain relationships with and attend to queries from internal and external parties, incl. business units, lawyers, auditors, investors and vendors
  • Assist in applications or renewals of licences and opening of bank accounts in different jurisdictions
  • Attend to ad-hoc assignments such as KYC and due diligence requests or as assigned by the Head of Legal & Compliance

Requirements

  • At least 2 years of experience in a company secretary or similar roles
  • Relevant experience in company secretarial affairs in financial services industry is not a must but should be able to demonstrate good common sense and high integrity
  • A University or Master degree in Corporate Governance, Corporate Administration, Business or any related disciplines
  • Proficient in corporate secretarial practices and regulatory requirements
  • Excellent written and verbal communication skills in English is essential
  • Good team player and interpersonal and communication skills, self-motivated, well-organised, independent, hardworking and strong sense of responsibility
  • Attention to detail and the ability to work expeditiously on multiple matters at the same time
