Position Overview

Reporting to the CEO, M&A Principal will be a transformative leader with the ability to own BibliU's M&A strategy and execute it to achieve triple digit growth. With a focus on the transactions, the Head of M&A will guide the BibliU board; coordinate the executive, manage the relationship with the targets, and undertake the modelling and due diligence processes. The Head of M&A will sit on the leadership team as a collaborative force that looks beyond their “function” and takes ownership of the entire company needs in relation to M&A.

What you will be doing:

  • Ownership and Strategy: Lead end-to-end M&A initiatives, implementing a revenue-focused strategy.

  • Relationship Management: Cultivate and manage relationships with potential M&A targets.

  • Financial Expertise: Conduct independent financial modelling and due diligence.

  • Reporting and Collaboration: Collaborate with leadership for Board and investor reporting.Execute transactions and ensure seamless integration with COO.

  • Diverse Activities: Handle due diligence, financial analysis, investment documentation, and risk assessment.

Requirements

What we are looking for

Your enthusiasm lies in addressing the board's needs by putting together investment cases for acquisitions, high-quality due diligence, and execution of M&A processes. Your background includes a minimum of 3 years as an investment banker, private market investor, or management consultant.

Must have:

  • Proven experience in executing US-based M&A transactions, ranging from $5-50 million, or equivalent expertise in similar settings.

  • Proficiency in financial modelling, encompassing DCF, LBO, and merger models.

  • Strong background in valuation with a deep understanding of valuation principles.

  • Demonstrated exceptional leadership and communication skills, adaptable to all organisational levels.

  • Direct experience in reporting to or interacting directly with the Board.

  • Ability to establish M&A infrastructure, effectively project managing transaction execution.

  • Desirable understanding of the higher education publishing and SaaS landscape.

Additionally:

  • Highly professional demeanour, demonstrating discretion and responsibility in all interactions.

  • Capacity to work at a fast pace, readily adapting to new challenges.

  • Commercially-minded, with a logical approach rooted in numerical analysis.

Good to have:

  • 3-5 years of investment banking, management consulting or transaction experience

  • Industry-specific Expertise: In-depth knowledge of the Ed-tech sector or experience/interest for start-ups

  • Legal Background: Familiarity with M&A-related legal aspects and contracts.

  • Cross-functional Collaboration: Ability to collaborate with various departments for seamless integration.

  • Data Analytics Skills: Proficiency in data analysis for informed decision-making.

  • Innovation and Creativity: Ability to think innovatively for strategic problem-solving.

  • Experience in Cultural Integration: Background in managing cultural differences post-acquisition.
