Position Summary

The Nautilus Solar Energy® M&A Manager will be responsible for leading the execution of M&A’s acquisition activities. The primary responsibility will be to grow Nautilus’ operating portfolio of solar assets and help Nautilus and its investment partners achieve their financial and investment goals. The position requires a detail-oriented individual with a strong background in managing complex deals throughout their lifecycle. The Manager of M&A should have 5+ years demonstrable experience of deal-identification, document negotiation, deal due-diligence, use and manipulation of financial models, and shepherding projects to successful closing. The position reports to the Executive Director, M&A and is remote.

Responsibilities:

  • Lead execution of M&A acquisitions in concert with the Executive Director
  • Maintain and strengthen ongoing relationships with project owners, brokers, investors, and asset-holders through in-person meetings including participation in industry related events.
  • Advise and evaluate deal rationale, financial projections, risk assessment and financial implications of project- and portfolio-level opportunities and incorporate those attributes into memorandums for presentation to Nautilus’ board and Investment Committee
  • Identify new value-add opportunities for increasing competitiveness of bids and develop a strategic framework for evaluation of risk related to each opportunity; disseminate learnings throughout various departments (e.g. origination, structuring, asset-management) to augment Nautilus’ institutional knowledge and capabilities.
  • Coordinate inter-departmental and cross-functional resources to facilitate the achievement of the departmental and company goals.
  • Create processes to facilitate deal flow, increase throughput efficiency, and marshal resources effectively and economically; manage internal adoption of company tools/software and ensure adherence to processes and procedures.
  • Train and educate more junior members of the M&A team while serving as a source of distributed solar expertise within the organization.
  • Stay up to date on industry trends, competitors, deal-activity across the sector, pertinent policy shifts and market-opportunities, financial instruments/structures, and technology and equipment.
  • Oversee all acquisition-related due-diligence.
  • Assist in the preparation of quarterly board and investor presentations.
  • Ensure the correct financing assumptions are included in the project models.
  • Consistently maintain a high level of integrity both internally and with external stakeholders; uphold and support Nautilus’ values and culture.

Requirements

  • Minimum five years of relevant experience (acquisitions, investment banking, clean tech, energy or related sectors); previous solar experience desirable
  • Financial modeling skills
  • Strong verbal and written communication skills
  • Professionalism in communicating with senior executives
  • Ability to work independently in a team-oriented and fast-paced entrepreneurial environment
  • Ability to interface with different levels and functions of the organization as well as with external parties such as banks, lawyers, customers and contractors
  • Proficient in MS Office365 (Word, Excel, PowerPoint, Dynamics)
  • Unrestricted authorization to work in the U.S.
