We’re seeking Counsel to provide proactive, practical and strategic legal advice to support a high-performing, growth-oriented business, driving sales and innovation using emerging technologies, and working in a regulated environment. You’ll work closely with the Legal team, senior business leaders and key stakeholders across the organization to provide counsel on legal issues and risk mitigation guidance while driving impact across transactions, products and compliance.
Your primary focus will be commercial transactions, negotiating and structuring real world data, technology and strategic alliance agreements. You will also have meaningful exposure to a wide variety of privacy and regulatory compliance issues and the product development cycle.

How you will contribute:
- Draft, negotiate, and manage a wide range of commercial and government agreements (enterprise SaaS and data contracts, business associate agreements, data processing agreements, strategic partnerships, vendor contracts, and more).
- Negotiate directly with large enterprise customers, government customers and strategic partners, balancing speed-to-close with thoughtful risk mitigation.
- Learn and understand Truven’s products, business model, strategy, culture, etc. to develop a deep understanding of the business and support its goals by providing practical and actionable legal advice on privacy, product, compliance and enforcement matters as they arise.
- Build strong business relationships with leadership, internal stakeholders, and external parties to advance business and legal interests and to collaborate on the development of new products, technologies and markets.
- Assist in building smarter process to help scale contracting and drive compliance.
- Work with existing contract management systems and contract processes and identify, implement and support improvements.
- Perform other duties and responsibilities as needed, requested, and/or assigned.
About You:
You’re looking to own meaningful deals, learn fast, and build credibility as a business partner. In this role, you’ll work across commercial, product, privacy, and regulated-tech issues—working directly with Sales, Product, Security, and Operations to help deliver, sell, and scale.
- J.D. from an ABA-accredited law school and qualified to practice law in house in the state where you live/work (or ability to obtain promptly).
- 3+ years of relevant experience (law firm and/or in-house) supporting commercial, product, technology, and/or regulated-industry work.
- Strong drafting and negotiation skills with a track record of moving deals forward and closing complex agreements.
- A practical, business-first mindset: you can spot risk, explain it clearly, and propose options that keep teams shipping.
- Comfort working in a fast-moving environment with multiple stakeholders, shifting priorities, and tight deadlines—without losing attention to detail.
- Excellent communication and relationship-building skills; you collaborate well with Sales, Product, Engineering/Security, and Operations.
- Working knowledge of data privacy concepts and the ability to support privacy-forward contracting (e.g., DPAs, BAAs, data use terms).
- Experience in health tech, data, SaaS, analytics, or other regulated technology environments.
- Exposure to government customers, public sector procurement, and/or flow-down requirements is a plus.

Compensation
The salary range provided in this job posting is intended to reflect the general market value for the position. The actual salary offered may vary based on factors such as the candidate’s experience, qualifications, skills, and the specific requirements of the role. This range may also be subject to change as market conditions evolve. We encourage open communication throughout the interview process to discuss compensation expectations. For base-salary + commission sales roles, the range represents On-Target Earnings.
