What You’ll Do
IronArch Technology has an opening for a Contracts/Subcontracts Manager with Legal experience to join our team!
The successful candidate will be responsible for cradle-to-grave contract administration of prime and subcontracts, pre-award agreements negotiations, and supporting/preparing financial deliverables.
Key Responsibilities
- Interface directly with IronArch program managers, internal growth team, organizational stakeholders, and external contracting officers/clients to ensure contract administration and compliance requirements are fulfilled.
- Operate and execute tasks in a timely and independent manner with minimal oversight.
- Coordinate approvals of contract modifications and subcontract awards with appropriate program management and finance staff.
- Maintain efficient and organized records of all contractual documents, agreements, and correspondence.
- Work with finance and accounting to ensure adherence to broader finance and risk requirements and support the development and production of financial status reports for program operations.
- Issue and participate in the negotiation of prime, subcontract, and consultant contracts.
- Analyze contractual risks and identify mitigation strategies in collaboration with appropriate company leverage groups and Management.
- Provide general to complex advice and interpretation of contract requirements.
- Review solicitation requests to identify risk and to ensure company responsiveness in compliance with terms and conditions and support proposal development requirements and timelines.
- Regularly interact with Business Development and assist in the preparation and submission of compliant binding proposals,
- Prepare subcontract documentation and agreements.
- 10+ years of cradle-to-grave contract administration and/or contracts management experience in the U.S. government contractor environment.
- Bachelor's degree in business administration or a related field, or an equivalent combination of education and experience.
- Experience in administering all contract/subcontract types (IDIQ/GWACs, CPFF, T&M, FFP, etc.)
- Must have experience administering and managing GSA Schedule contracts, including contract modifications, option exercises, and compliance with GSA-specific requirements.
- Must be knowledgeable with relevant laws, regulations, terms, conditions, and policies governing contracts/subcontracts, including FAR, DFAR, and CAS.
- Experience and proficiency with Microsoft Office Suite (including Teams), SharePoint, and Adobe Acrobat required.
- Must have experience with RFPs and proposal development.
- Must be knowledgeable and skilled in contract/subcontract negotiations.
- Must have experience with contract/subcontract pre-award and post-award administration
- Must be knowledgeable and skilled in subcontractor administration, contract closeout, and project financial status reports and analysis.
- Must be able to assess contractual requirements for data assertion, intellectual property, and/or data rights requirements and/or limitations.
- Must be able to prepare subcontractor bid packages, analyze and evaluate proposals, prepare and negotiate subcontract agreements, and administer resulting subcontracts.
- Negotiates subcontract price/cost, profit/fee, terms and conditions, and schedules for new subcontracts and subcontract modifications.
- Documents subcontract files in compliance with FAR/DFAR Regulations (CPSR) and company policies and procedures.
- Must have the ability to gain understanding and apply company policies to contract/subcontract performance.
- Must assist Management with the update and development of contracts and subcontracts policies and best practices.
- Must be able to apply the understanding of best value criteria for the procurement of services.
- Must possess an understanding of contract administration requirements to maintain accurate records and surveillance during performance.
- Excellent oral and written communication skills and the ability to communicate clearly and persuasively with partners.
- Must be responsive to peers, company leadership, partners, and customers.
- Ability to effectively prepare and present information to management.
- Possesses strong analytical, problem-solving skills, and the ability to think strategically with financial and business acumen skills.
- Must have the ability to multitask effectively with accurate results.
- Must have the ability to prioritize competing priorities and meet all scheduled deadlines and reasonable delivery timeframes.
Preferred Experience
- Certified Professional Contracts Manager (CPCM)
- Certified Federal Contracts Manager (CFCM)
- Provide first-line legal review of contracts and identify potential risks, conflicts, or compliance issues.
- Support internal stakeholders with interpretation of legal terms, contract obligations, and risk mitigation strategies.
- Collaborate with outside counsel on complex legal or contractual issues when necessary.
- Experience working with Joint Venture (JV) structures, including managing contractual relationships, compliance requirements, and proposal support under JV entities
Work Location:
- Candidates based in the Washington, DC, metro area (DMV) are expected to work on-site at our office.
- Candidates located outside the DMV may be considered for a fully remote position.
- Occasional travel may be required for client meetings or company events, regardless of location.
