The pay for this position ranges from $115,000 - $135,000.
Job Title: Senior Contracts Manager and Assistant Corporate Secretary
Job Overview: FuelCell Energy’s legal team is seeking a creative, organized, good-humored and tech-savvy contracts manager and assistant corporate secretary to take on a dual role of contracts and contract compliance manager. In this role, you’ll facilitate the efficient negotiation and execution of a broad range of B2B contracts and manage the company’s compliance with licensing requirements across multiple jurisdictions, as well as assisting the EVP, General Counsel and Corporate Secretary with the administration of corporate secretary duties.
Responsibilities - Senior Contracts Manager:
- Develop, implement, and manage a process to maintain up-to-date contract templates and legal playbooks
- Manage implementation of upgrades to existing contract lifecycle management (CLM) platform, including integration with Salesforce; and drive adoption of use of CLM throughout organization
- Maintain CLM platform to ensure comprehensive database of executed contracts.
- Coordinate across multiple departments to ensure accurate and timely information to assist in negotiation and finalization of contracts
- Monitor legal intake system and communicate with requesting parties and counsel to ensure timely assignment and completion of legal requests
- With the direction of counsel, manage construction licensing compliance program, including (1) tracking jurisdictions in which Company may perform activities subject to construction licensing requirements, (2) with counsel’s assistance, develop, manage, and maintain up to date library of jurisdiction-by-jurisdiction analysis, and (3) assist company in obtaining and maintaining up to date licensures
- Under supervision of counsel, assist in the negotiation of routine contracts
- Become familiar with and remain up to date on legal operations technology; make recommendations to broader legal team for continuous improvements
Responsibilities - Assistant Corporate Secretary:
- Assist in management of day-to-day operations of the corporate secretary’s office of a public company
- Attend Board and other meetings as necessary and taking Board and Board committee meeting minutes. Liaise with senior management and Board of Directors as needed;
- Assist in record retention for corporate records including meeting minutes, By-Laws, Certificate of Incorporation, Corporate Governance Guidelines, Charters, etc. and ensure that all required and approved policies and mandates are posted to the Internet/Intranet sites in a timely fashion
- Assist in planning and execution of annual stockholder meeting and related activities including; preparation and distribution of certain disclosures for use in Proxy Statement; coordinating activities of the Company’s proxy mailing with Broadridge and transfer agents to ensure timely delivery of shareholder materials
- Maintain the Company’s BoardVantage board portal to ensure documents are properly stored
- Work with Nasdaq to manage annual governance requirements such as Board assessments, D&O questionnaires, etc.
- Obtain and maintain SEC filing codes and powers of attorney for all Company insiders
- Assist with the reporting, monitoring and maintenance of beneficial ownership of insiders (SEC Forms 3, 4 & 5 for company insiders). Working with Fidelity in maintaining insider 10b5-1 trading plans
Minimum education and experience
- 8+ years experience as a contracts manager or transactional paralegal or equivalent up-to-date certification(s) and/or degree(s) demonstrating practical knowledge of contracts management
- Experience in clean energy (e.g., solar, wind, fuel cells, etc.) and project finance highly desired
- Corporate governance experience and experience managing board and committee processes, or the willingness and ability to learn these areas, including willingness to undertake online or in-person training courses
Knowledge, Skills, and Qualifications
- Demonstrated acumen with common technology platforms, e.g., Salesforce, Monday.com, Teams, etc.
- Demonstrated ability to develop and maintain functional processes
- Demonstrated ability to work cross-functionally, including coordinating across multiple time zones
- Self-directed, creative, proactive, and resourceful
Location
Ability to be in-person in either Torrington, CT or Danbury CT highly desired, but open to fully remote for highly qualified candidates
