The Role:

EFG is seeking a full-time Legal Counsel, Vice President Corporate Legal Affairs, to lead our global corporate legal affairs team within the EFG Legal department. The Vice President Corporate Legal Affairs will be an integral part of the leadership of our international legal team, lead a team of two lawyers, and will report to our Chief Legal Officer. You will be responsible for providing corporate legal support and advice to our various boards and directors, global operating entities, and the global business, finance, and legal teams. You will proactively lead the creation, implementation, and maintenance of our corporate policies, intercompany relationships and company-wide training and awareness efforts around corporate affairs and protect the company’s intellectual property. You must have substantial experience in corporate law and company affairs, excellent judgment in balancing legal risks with business strategy, and a proven ability to learn new areas of law and function independently in a demanding, fast-paced environment. You will also be directly supporting multiple lawyers located globally on corporate matters that arise in contract negotiations, commercial undertakings, and M&A activity. We are looking for a highly adaptable and collaborative person who can handle ambiguity and rapidly shifting priorities with flexibility, patience, and poise.

What you will do:

  • Lead and manage the corporate legal affairs team within the EFG Legal department. Provide professional development and growth opportunities, mentoring, and promote employee engagement for your team.
  • Provide corporate and company law advice and guidance, and support our Chief Legal Officer, the Board, and senior company management.
  • Support, manage, and advise the EFG corporate secretary function.
  • Manage and support shareholder corporate affairs requests and interactions, including compliance, risk management, and internal audit.
  • Advise EFG, its senior executives, managers, and other employees at all seniority levels on corporate law matters, legal entity management, and governance related to our business operations.
  • Advise and assist the business, legal, tax, finance, and other corporate functions on internal transactions such as corporate reorganisations, transfer of assets, drafting and reviewing intercompany and third-party agreements, powers of attorney, and corporate filings. Prepare and ensure timely filing of our global operating entities’ board minutes and ensure the Company’s compliance with its applicable corporate and company law obligations.
  • You and your team will provide day-to-day corporate secretarial support to all businesses and functions at EFG, including through administration of an internal entity database, and oversight of entity management services performed by third parties.
  • Manage and protect the Company’s intellectual property portfolio.
  • Identify risk and develop best practices for entity management and corporate governance across EFG’s portfolio of companies. Collaborate with IT resources to identify and implement technology solutions where appropriate.
  • Maintain, develop, and implement EFG's policies, procedures, and documentation (excluding data and privacy) in coordination with appropriate organization members (e.g., human resources, finance, business process owners, IT, and other members of Legal).
  • Monitor adherence to the EFG policies and processes by devising and supporting efforts to implement and maintain internal reporting mechanisms around Company policies and practices.
  • Serve as the Company lead for any communications with the shareholder, regulatory authorities, and the public on corporate affairs.
  • Maintain and disseminate current knowledge of applicable enacted and proposed local, national, regional, and international company laws and regulations.
  • Assist, review, and draft language for RFPs, contracts and other legal documents related to corporate and company affairs, including supporting the Company’s M&A activities.
  • Review corporate initiatives involving international and inter-affiliate IP, royalty, and asset transfers to ensure compliance with applicable law.
  • Assess and monitor organisational risk; create policies, procedures, and training to promote awareness of corporate affairs and company law obligations.
  • Provide legal support and advice for M&A activities (in relation to corporate affairs and company law).
  • Support and advise on corporate procurement efforts.
  • Oversee and effectively manage outside corporate counsel and their associated services, advice, and billing.
  • Operate with a general management mindset and willingness to provide business advice.

Requirements

What you need:

  • Qualified and admitted lawyer with at least 10 to 15 years of relevant legal experience, preferably in a multinational technology in-house legal department setting.
  • Working knowledge of local, national, regional, and international corporate and company laws and regulations and experience with industry ‘best practices.’
  • Demonstrate a high degree of executive presence, with a high level of confidence and agility exhibited in client and partner interactions. Possess excellent client-service skills and an ability to interact with and effectively advise senior corporate leaders. The ability to establish credibility at senior organizational levels and garner respect from all levels of the organization. In key client interactions, must present ideas logically, assertively and effectively. Facilitate consensus and use it effectively to resolve conflict and overcome resistance.
  • Think logically and exercise well-developed and independent judgment to produce creative and constructive solutions under pressure. Demonstrate experienced and seasoned strategic and analytic approach to solving clients' legal needs. Demonstrate professional and personal ethics and integrity and illustrate an ability to influence decisions through informal authority and interactions.
  • Understand and incorporate enterprise-wide strategy and priorities into daily tasks and assignments. Demonstrate business acumen.
  • Demonstrate effective leadership skills and instincts and executive presence. Have experience managing the legal affairs of a legal group or have served as a key deputy to a senior legal team member and are able to effectively manage a team of lawyers and legal professionals. Exhibit leadership through example, model inclusion and respect, and inspire loyalty and trust.
  • Must have excellent organisational, time management, and communication skills and the ability to multitask in a rapidly changing environment.
  • Ability to work a varied schedule based on the needs of the team.
  • Ability to work autonomously and learn new software skills.
  • Excellent written and verbal communication skills.
  • Must have the legal right to live and work in the United Kingdom.
  • Additional languages are a plus.
  • Ability to travel (domestic and international).
  • Affinity for esports and gaming is a plus
