The General Counsel leads all legal work for Lightship. This individual is a licensed attorney who possesses a strong background and history of collaborating with other departments for legal advisory services and drafting of legal documents. This individual has significant experience in working as an in-house counsel in a pharmaceutical, clinical research, or related organization.
Given Lightship’s distributed model and the remote nature of this position the General Counsel possesses a willingness and desire to work independently without significant oversight. Additionally, this position will require moderate travel – approximately 20%.
General Counsel is responsible for:
- Corporate Governance
- Leading the development of best practice in the areas of corporate compliance
- Preparing documents for Board of Directors meetings and ensuring compliance with corporate law and internal governance
- Litigation
- Engaging in risk mitigation practices to avoid disputes and litigation
- Reviewing current practices in high-risk areas that could result in controversy
- Handling all aspects of litigation, arbitration, and government investigations to minimize financial, customer, and reputational impact to Lightship
- Contracting
- Developing standard form agreements and fallback positions for use in key negotiations
- Empowering Lightship executives to utilizestandard forms without legal review
- Ensuring that signed agreements and forms are accessible for use and review
- Mergers and Acquisitions
- Assisting with due diligence and including protective provisions in closing documents to protect Lightship’s interests
- Drafting closing documents, covenants, indemnities, and other provisions according to best practice
- Managing Outside Counsel
- Utilizing the most skilled and efficient outside legal advisors
- Reviewing outside counsel work to ensure high quality and accurate advice, suitable for the stages of Lightship’s growth
- Auditing legal bills and expenses for reasonableness and accuracy
- Commercial and CorporateTransactions
- Handling all complex commercial transactions based on legal knowledge and risk/benefit
- Negotiating terms and conditions protective of Lightship’s assets
- Developing standard practice and training junior members of the team
- Working in collaboration with other Lightship stakeholders to understand priorities
General Counsel
Required Qualifications:
- Licensed to practice law in the United States
- Graduated from an accredited law school
- At least 10 years of experience as an attorney
- Experience in pharmaceutical company, clinical research organization, or related industry as in-house counsel
- Required experience in a clinical research environment, preferred hybrid clinical research experience.
- Requisite combination of education, training, and experience
- Led a corporate legal function
- Worked in a regulated industry
- Managed complex transactions and litigation
- Skilled in all legal practice areas to identify risk, with particular emphasis on contracts, employment, corporate governance, and corporate transactions

The base salary range for this role is between $230,000 and $300,000, depending on education, skills, and experience. To determine our compensation, we use a market-based approach that is geographically neutral. We believe that this demonstrates our company value of ‘believing in people’ – valuing the outputs and performance of each team member.
