What I'm looking for
I’m a Corporate and Securities Law professional and Company Secretary with more than 18 years of experience across leading Real Estate industry. I lead complex transactions—Corporate Restructuring, Acquisitions, Merger, Demerger, and listings—while keeping regulatory risk front and center.
In my current role as Deputy General Manager- Company Secretary (since July 2017), I handle secretarial and compliance functions across all entities under the Residential Real Estate Division, supported by a team of 5 qualified company secretaries. I ensure Corporate Governance norms under the amended Companies Act, 2013 and manage the Promoters Portfolio with compliances under SEBI (SAST) and SEBI (Prohibition of Insider Trading) Regulations.
I also act as the SPOC for ESG and ERM and related compliances, and I’ve driven digitization of records since inception to enable timely retrieval of data while helping reduce real estate costs. I lead drafting and finalization of Notices, Circulars, Resolutions, Certificates, Directors’ Report, Annual Report, Policies, and maintain statutory registers/records with timely filings, including XBRL-format submissions and weekly/monthly MIS to management.
Beyond routine compliance, I’ve led formation of new companies, alterations of Memorandum and Articles of Association, due diligence for acquisitions, and documentation for amalgamation/merger/demerger and financial restructuring. I’ve handled private placement of shares, preferential allotment, rights issue, Non-Convertible Debentures, and other instruments, including listing of debt securities with BSE and ongoing compliance with debenture trustees; I’m also a key member of the core team for IPO-related work, having independently driven six demerger schemes from perception to implementation.
