YOUR IMPACT
OpenText is seeking a commercial Legal Counsel/Senior Legal Counsel to join our in-house legal team supporting the On-Demand Messaging (ODM) Sales Team. The OpenText ODM group is part of the Digital Experience business unit and powered by the world’s largest business network in the Cloud.
As a key contributor, you will be negotiating and drafting a wide variety of commercial technology agreements in support of various Americas-region sales activity, including cloud services agreements, software licenses, professional services, and novel templates keeping pace with new business offerings.
As a trusted partner, you will be instrumental working with cross-functional groups, diverse internal clients, and handling escalations from the business. As a business savvy attorney, you will provide practical guidance to the internal client groups that balance business objectives and legal risk.
WHAT THE ROLE OFFERS

- Building positive working relationships with teammates, subject matter experts, internal clients, and customers
- Drive the legal team’s strategic objectives, including development and implementation of processes that improve time-to-contract without material increases in risk.
WHAT YOU NEED TO SUCCEED
- 5 - 7 years previous experience of legal counsel role conducting contract negotiations for technology cloud/SaaS services and software (sell-side preferred).
- Strong experience working either as in-house counsel or within law firms handling commercial matters.
- Experience doing business with regulated industries, such as healthcare and finance, and understanding or interest in data privacy/data security a plus.
- Solid “hands on” experience drafting, negotiating, and providing guidance on a wide variety of agreements: particularly software licensing; hosted/cloud-based product agreements; professional services contracts; and maintenance and support agreements.
- Knowledge of working in the IT sector and assisting sales executives on commercial and sales transactions.
- Background in contract support for a variety of business functions including sales, marketing, engineering, and other internal clients.
- Ability to advise management on risks across the business and strategies for mitigation.
Salary Statement
This job is expected to pay in the range of $160,000 to $200,000 annual salary as well as a comprehensive and competitive group benefits and healthcare plan. Individual compensation will be determined based on skills and experience comparable to the job requirements.
