Material Bank is seeking a Sr. Legal Counsel to be a key member of our Legal team, reporting to the VP of Legal, with significant exposure across the company. The Sr. Legal Counsel will work directly with business partners to provide daily company-wide legal support. In this role you will draft, review and negotiate a variety of commercial contracts and will support key executives and other business partners across the business in legal compliance, intellectual property, data privacy and security, dispute resolution, international business and new product and service development.

This is a fast-paced, multi-faceted role within a dynamic environment, that requires candidates to have strong communication and people skills as well as a willingness to roll up your sleeves.

Ideally, we are looking for someone to be based in the Boston or New York area.

What you’ll do:

  • Draft, negotiate and review a wide variety of customer, vendor, strategic partner, marketing and technology agreements.
  • Develop form agreements and contract playbook to help reduce “friction” in the contracting process.
  • Collaborate with the Legal Operations Manager and others to continuously improve internal contracting processes.
  • Advise on international issues related to foreign subsidiaries and consulting with outside counsel as needed.
  • Provide advice to internal clients on a range of legal and risk management areas, including corporate, intellectual property, data privacy and security, dispute resolution, employment and other legal areas as they arise.
  • Assist with acquisitions, financings and other major corporate transactions.

What you'll bring:

  • Juris Doctorate (JD) from a law school approved by the American Bar Association or proper state authorities.
  • Admitted to practice in New York, Massachusetts, California or Florida.
  • 5+ years’ experience in a corporate legal department, law firm or similar legal environment (with strong preference for both law firm and in-house experience).
  • You’re an active listener with brilliant written and verbal communication skills, including the ability to translate nuanced concepts into concise and practical guidance.
  • You have a demonstrated ability to independently manage a diverse and complex workload while maintaining priorities and actively anticipating issues.
  • You have excellent judgment and discretion in maintaining confidentiality and in communications with employees and third parties.
  • You recognize that Legal is a service department for our business partners.
  • You have a team-first attitude and willingness to step in wherever needed, while demonstrating maturity and professionalism.

Nice to have:

  • Minimum of 3 years’ experience advising clients and teams on legal issues related to commercial contracts.
  • General corporate and transactions experience at a law firm.
  • Experience advising on data privacy regulations and consumer protection laws.
  • Experience developing compliance programs and advising accordingly.
  • Experience advising on employment matters.
  • Genuine interest in architecture and design.
