Eunice Lee
@eunicelee
Corporate tax attorney specializing in transactional, PE, and real estate tax.
What I'm looking for
I am a corporate tax attorney with deep transactional experience in private equity, mergers & acquisitions, debt restructurings, bankruptcy emergence planning, and commercial real estate tax. I combine technical tax analysis with practical deal execution, advising deal teams and clients on structuring alternatives to avoid adverse tax outcomes.
At Weil, Gotshal & Manges I analyzed complex issues including Treas. Reg. §1.1001-3 significant modification determinations, Section 382 ownership change studies, CODI interactions with Sections 108 and 1017, and cross-border partnership tax matters. I drafted tax memoranda, negotiated tax indemnities, and performed tax diligence to quantify and mitigate buyer exposure.
In my current role as Commercial Real Estate Investment Manager at Southlake Professional Park, LLC I manage entity- and property-level tax coordination, prepare tax schedules, implement 1031 exchange strategies, and optimize depreciation and lease-structure tax treatments. I leverage cost segregation, PTET elections, and other real estate tax techniques to improve after-tax returns.
I bring rigorous legal research from top law schools (Stanford Law, Harvard) and hands-on transactional experience to craft tax-efficient solutions that preserve NOLs, manage withholding and transfer pricing risks, and support successful deal outcomes.
